These Terms of Use (hereinafter referred to as “these Terms”) set out the conditions for use of “Lab Partner AI” (hereinafter referred to as “the Service”) provided by Sugbrain Inc. (hereinafter referred to as “our company”), and are between our company and individuals such as researchers who use this Service (hereinafter referred to as “Users”). By agreeing to these Terms, you agree to the terms of use, which become the contents of a contract between both parties.
Article 1 (Definition)
The definitions of the terms used in these Terms and Conditions are as follows:
(1) User: An individual (researcher, student, engineer, etc.) who uses the Service after agreeing to these Terms and Conditions. This includes those who use some of the Service’s functions (such as guest use) without registering an account.
(2) AI Chat Function: A function that uses generative AI to propose experimental protocols, search for technical documents, and provide interactive support.
(3) Team Function: A function that allows users to invite members of specific research groups or labs to share information and chat.
(4) Inventory Management Function: A function that allows users to register and manage inventory information (product name, lot, expiration date, storage location, etc.) for reagents, consumables, equipment, etc., and link it with the AI Chat function, etc.
(5) Posted Data: Text, images, documents, inventory data, and all other information entered, uploaded, or recorded by users using the Service.
Article 2 (Agreement to these Terms)
1 Users must use the Service in accordance with the provisions of these Terms and Conditions.
2 Users are deemed to have validly and irrevocably agreed to these Terms and Conditions at the time they apply to use the Service (account registration) or begin using the Service as a guest.
3 If the use of this service is restricted by the rules of the institution to which the user belongs (university, research institute, company, etc.), the user shall comply with such rules at his/her own responsibility.
Article 3 (Changes to the Terms)
1 We may change these Terms at any time without obtaining the prior consent of the User.
2 The revised terms and conditions will be notified by posting within the Service or by other means deemed appropriate by the Company, and will come into effect on the date specified in the notice.
Article 4 (Changes and Termination of Service)
1 We may change, add to, or discontinue all or part of the content of this service without prior notice.
2 We may terminate the provision of this service without prior notice.
Article 5 (User registration and guest use)
1 Some features of the Service can be tried out as a “guest user” without registering an account. However, there may be restrictions on the number of times or functions that can be used as a guest user.
2 In order to use all the functions of this service, you will need to register as specified by our company and create an account.
3 Users are responsible for managing their user IDs and passwords and may not transfer, lend, or sell them to third parties.
Article 6 (Usage Fees)
1 This service is provided free of charge in principle. If paid plans are offered in the future, they will be announced separately.
Article 7 (Handling of posted data and exclusion of AI learning)
1 Exclusion from use for AI training: We will not use the posted data (such as highly confidential research information, protocols, chat content, etc.) entered by users into the Service for the purpose of training our or third-party generative AI models (such as training the base model).
2 Copyright: The copyright of the submitted data belongs to the user (or the institution to which the user belongs).
3 Maintaining confidentiality: We will not disclose or provide posted data to third parties except to the extent permitted by the sharing settings between users.
4 Use of Statistical Data: Notwithstanding the provisions of paragraphs 1 and the preceding paragraph, we may process posted data and the usage status of this Service into statistical data in a format that does not identify specific individuals, laboratories, or organizations, and may analyze, use, publish, or provide said statistical data to third parties (including pharmaceutical companies, investors, etc.) at our discretion. Users agree to this in advance.
5 Data storage: We are not obligated to maintain backups of posted data.
Article 8 (Provision of technical information and sponsor indication)
1 When responding via the AI chat function, we may display technical documents (product manuals, application notes, etc.) and product information provided by us or third parties (sponsoring companies such as reagent and equipment manufacturers) that are highly relevant to the content and context of the user’s question.
2 The user understands and agrees that the information displayed in the preceding paragraph is part of a function aimed at supporting the user in solving research problems.
Article 9 (Handling of Personal Information)
Any personal information of users that we obtain will be handled appropriately in accordance with our privacy policy.
Article 10 (Prohibited matters)
Users must not engage in any conduct that the Company deems inappropriate, such as violating laws and regulations, infringing the rights of the Company or third parties, placing a burden on the server, or installing malicious programs.
Article 11 (Intellectual Property Rights)
All intellectual property rights related to the Service belong to the Company or to parties that have granted licenses to the Company.
Article 12 (Disclaimer)
1 Accuracy of Answers: We do not guarantee the accuracy, validity, completeness, etc. of the answers generated by the AI chat function. AI is merely a tool to support research activities, and the final decision on the conduct of experiments and their results is the user’s own responsibility.
2 Inventory data, etc.: We do not guarantee the accuracy of the data in the inventory management function (e.g., consistency with actual inventory).
3 Compensation for Damages: We shall not be liable for any damages incurred by the user in connection with the use of this service, except in cases where we are guilty of willful misconduct or gross negligence.
Article 13 (Exclusion of Anti-Social Forces)
Users must undertake to not be associated with anti-social forces. If a violation is discovered, the Company may immediately suspend use of the service.
Article 14 (Governing Law and Jurisdiction)
These Terms and Conditions shall be interpreted in accordance with the laws of Japan. Any disputes arising from these Terms and Conditions shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
